MEREDITH B. JOHNSON
Meredith Johnson is a public finance attorney who focuses her practice on financing and refinancing educational facilities for school and community college districts. Meredith has extensive experience serving as bond counsel and disclosure counsel on both long-term and short-term financings including general obligation bonds, certificates of participation, bond anticipation notes and tax and revenue anticipation notes. Meredith also has significant experience counseling as to the formation and governance of mello-roos community facilities districts and the issuance of special tax bonds.

Meredith also serves as underwriter’s counsel to investment banks underwriting municipal bonds. She provides advice as to compliance with Securities and Exchange Commission and Municipal Securities Rulemaking Board regulations with respect to the issuance and reoffering to the public of municipal securities.

Meredith earned her juris doctor from the University of California, Hastings College of Law and her Bachelor’s Degree from the University of California at Berkeley. She practiced public finance law at the law firm of Fulbright & Jaworski LLP in Los Angeles for 8 years after graduating from law school.

Representative experience includes advising clients on the following matters:

• Underwriter’s Counsel to investment bank during public sale of tax-exempt bonds and federally taxable Build America Bonds pursuant to the American Recovery and Reinvestment Act of 2009 (“ARRA”).

• Bond and Disclosure Counsel to unified school district in successful election authorizing more than $300,000,000 in general obligation bonds; subsequent issuance of tax-exempt bonds and federally taxable New Clean Renewable Energy Bonds pursuant to the ARRA.

Practice encompassed municipal finance, local government and banking law with particular emphasis on capital projects financing and refinancing for school districts and community college districts.

• Bond and Disclosure Counsel to school district in successful election authorizing $23,000,000 in general obligation bonds; subsequent issuance of tax-exempt bonds, taxable refunding bonds and bond anticipation notes simultaneously; represent district in formation and administration of Mello-Roos district.

• Bond and Disclosure Counsel to unified school district with hardship status in execution and delivery of $37,625,000 auction rate certificates of participation and $46,800,000 refunding auction rate certificates of participation, each subject to an interest rate swap; previously represented district in execution and delivery of fixed, variable rate demand and land bank certificates of participation.

• Underwriters’ Counsel to $119,985,000 county office of education 2009-10 pooled tax and revenue anticipation note participation certificate program comprising four series on behalf of twenty one school and community college districts, including districts with qualified and negative certifications, responsible for drafting Official Statement.

• Borrower’s Counsel to non-profit corporation in formation, application for and receipt of 501(c)(3) status and purchase of a facility housing county social services department through conduit issuance of tax-exempt and taxable economic development revenue bonds.

• Bond and Issuer’s Counsel to joint powers authority formed by school districts to govern collaborative Mello-Roos district in issuance of multiple series of Mello-Roos bonds, annexation of real property parcels and Mello-Roos governance issues.

• Bond and Disclosure Counsel to city and joint powers authority in issuance of three series of variable rate lease revenue bonds in the aggregate amount of $148,415,000 to finance phased construction of a cogeneration facility.
